We are seeking a highly skilled and business-oriented Technology Transactions/IP Attorney to join our client's legal team in their San Francisco office on an ongoing contract basis. This person will be expected to report on-site 1-2 days a week to our client's San Francisco office.

This role will support a wide range of technology-related commercial transactions and provide strategic legal guidance on intellectual property, data privacy, and emerging technologies including AI/ML.

Key Responsibilities

• Review, draft, and negotiate a variety of technology-related agreements, including:
• Software licensing, SaaS, cloud services, hardware, AI/ML, and data-sharing
• Joint development, strategic alliances, supply, manufacturing, and sales contracts
• Advise on IP ownership, licensing, and open-source software matters in commercial transactions
• Provide legal counsel on AI/ML use cases, regulatory developments, and integration into products
• Support compliance with global data privacy and cybersecurity regulations, including cross-border data transfers
• Collaborate with product, engineering, and business teams to enable go-to-market strategies and ensure regulatory compliance
• Maintain and enhance contract templates, negotiation playbooks, and internal technology/IP policies
• Serve as a liaison between the Legal team and global outside counsel for IP portfolio management
• Partner with the General Counsel to develop and execute IP strategy

Qualifications

• Juris Doctor (JD) from an accredited law school; active member in good standing of at least one U.S. state bar
• Minimum of 5 years of experience in technology transactions or software/semiconductor -based system patents, with a preference for technology transactions
• Experience in both law firm and in-house legal roles preferred
• Deep understanding of software, SaaS, AI/ML, hardware, and data-related agreements
• Proven ability to advise senior business leaders and negotiate high-value, complex transactions
• Exceptional drafting, communication, and analytical skills with the ability to simplify complex legal concepts
• Experience working in a dynamic, fast-paced company with global operations
• Undergraduate degree in science, engineering, or mathematics is a plus

The ideal candidate will have a strong background in negotiating complex agreements, advising cross-functional teams, and managing IP portfolios in a fast-paced, global environment.
